Lusa - Business News - Portugal: Media Capital board sees takeover bid by Cofina as timely, appropriate

Lisbon, Oct. 17, 2019 (Lusa) - The board of directors of Media Capital, the owner of Portugal’s most-watched television channel, TVI, said on Thursday that a takeover bid made by Cofina "is timely and that its conditions are appropriate".
In a statement sent to Portugal’s securities markets commission, the CMVM, the board of directors of Media Capital said that it was “confident" that Cofina’s planned acquisition of a stake in TVI would "have a positive impact for workers … in that it will be integrated into a strategy of consolidation of the media” as part of its overall business plan.
Media Capital also stresses that "this report was drawn up on the basis of the information made available to the management board and includes only opinions of the board of directors and should be considered as such.”
On 21 September Cofina, the owner of Portugal’s top-selling Correio de Manhã newspaper, the Jornal de Negócios newspaper and the CMTV channel, among other media interests, announced that it had reached agreement with Spain’s Prisa, the controlling shareholder of Media Capital, to buy all its shares in the company, valuing it at €255 million. The transaction would include the debt of Media Capital.
"The board of the Media Capital Group analysed several assessments of the financial conditions of the offer, which allow us to consider that a price of 2.3336 euros per Media Capital share appears to be adequate," the statement said, citing a report adopted "unanimously by voting members" of the board at a meeting. Nevertheless, the board "sees as appropriate a possible increase or revision of the offer's value."
The board "considers positive the strategy presented [by Cofina] in that that it provides, in particular, for leveraging investment in digital expansion, the launch of innovative services and the promotion and development of content produced in Portugal, [with the company] remaining an asset with a Portuguese identity."
It notes that board members of Media Capital "are not holders of shares of the company so they are in no condition to take part in the offer."
Cofina requested the registration of its takeover bid for Media Capital on Friday, 11 October, the last day of the deadline for it to do so.
The offer is for all 84,513,180 shares in the company, with a nominal value of €1.06.
Cofina, which is led by Paulo Fernandes, sees the acquisition as resulting in synergies of €46 million. It expects the deal to be completed in the first half of next year.
The transaction is subject to certain conditions, in particular approval by regulators and a Cofina capital increase of €85 million to part-fund the purchase of Prisa’s stake. The rest is to be financed by €220 million in debt.
According to the company, €50 million of the funds so captured will be used to pay for the costs of the transaction and to refinance Cofina’s net debt. In addition, half of the capital increase is to be underwritten by the company’s main existing shareholders.
As well as TVI, Media Capital has five other TV channels and the digital platform TVI Player, plus radio stations, including Radio Commercial, one of Portugal’s most popular.
