Lusa - Business News - Portugal: Partex employees lodge challenge to sale by Gulbenkian Foundation




Lisbon, Oct. 8, 2019 (Lusa) – Employees of Partex, the holding company for the oil and gas interests of Lisbon’s Calouste Gulbenkian Foundation, are challenging in the courts a ministerial order that waives governmental authorisation for the sale of the unit.
If the courts uphold the request, that will render the planned sale - to Thailand’s PTTEP - null and void.
"We have … advised our clients to challenge in the administrative courts that unbelievable ministerial order from the minister Mariana Vieira da Silva that establishes the understanding that no government authorisation was necessary for the sale by the Fundação Gulbenkian, a private foundation but of public utility, of its very important asset Partex,” António Garcia Pereira, a lawyer retained by the employees, told Lusa. “We take the view that this order should not be accepted as legal, because it appears to us to be completely illegal.”
According to Garcia Pereira, the challenge was lodged in the first half of September, near the limit of the three-month deadline laid down in law for the purpose, and resulted from the need to ensure that this deadline was not exceeded, in view of the stance adopted by the Partex board and the foundation.
According to the lawyer, the employees have "total readiness for dialogue" where negotiating ways of safeguarding jobs or the agreed departure of workers who so wish, but "unfortunately this readiness has not been matched from the other side."
The legal action, he said "in no way affects [employees’] willingness to find a solution to this problem [through] dialogue, with jobs guarantee and to be able to leave - whether by mutual agreement … or early retirement – with due compensating conditions.” His clients, he went on, “continue to wait for the foundation and Partex to make proposals so that the negotiating process can move forward.”
However, if the case goes to court, the challenge could result in the sale being struck down, since "it means that the authorisation should not have been dispensed with and, therefore, the legal deal that has been concluded under these conditions is null, with all the consequences that this implies, namely the Foundation’s responsibilities to the purchaser."
At issue is the sale by the foundation of Partex to PTTEP, under an agreement reached on 17 June that foresees employees being dismissed within two years after the sale, according to Garcia Pereira. On 18 June, he said, employees received a letter from the foundation informing them of the "contractual guarantee of only 24 months during which work contracts will be maintained” – a situation quite different from that presented by the foundation eight months earlier, which had stressed its responsibilities to Partex employees and described them “as members of the Foundation Family”.
According to the lawyer, Vieira da Silva, as cabinet office minister, issued the order on 13 June, ruling that no governmental authorisation was necessary under the relevant law. The foundation had requested a waiver, arguing that Partex is not "one of the assets originating from the foundation" nor "an asset relevant for the purposes of the foundation".
According to Garcia Pereira, the minister’s decision was based on an opinion sought from the State Centre for Legal Competences whose authors themselves had said was "heavily conditioned by the urgency" with which the document was requested and by the little information they had on which to base it.
He also said that the opinion rejects the argument first put forward by the foundation, stating that the oil company "is clearly one of the originating assets" of Calouste Gulbenkian, the organisation’s founder, whereas on the issue of the importance of Partex for the purposes of the institution, the sale is said not to jeopardise its financial sustainability. But that, Garcia Pereira argues, is not the legal criterion here, but rather whether the asset is important or not, and income from Partex “represents 40% of foundation's budget."
In addition, he says, "Partex is linked to high technology and more [highly] qualified knowledge, there are a number of Masters [theses] that are of the best at the world level and have only been able to be carried out exactly because of this know-how accumulated in the company, which has been an ambassador of the country throughout the world."
Garcia Pereira also denounced what he called the "complete opacity of the process" to sell Partex: "Only after the workers raised the question at a meeting did the board of the foundation hurriedly, on 7 June [10 days before the deal was signed], a Friday, send to the minister … a request in which it argues that government authorisation was not necessary.”
With that weekend being followed by a holiday on the Monday, the minister sent the application to the cabinet secretary of state and, from 11 to 12, the legal opinion was sought, Garcia Pereira noted. On 13 June, again a holiday in Lisbon, “the minister went to her office to sign the order” and on 17 June the sale was announced.
"How is it possible that a decision that contends with so many factors and with such important issues could have been cooked up in this way?” the lawyer asked rhetorically. “What is behind this?”
